These Terms of Service ("Terms") govern your use of PracticeChat, a product of MedTech Consulting, LLC ("Company," "we," "us," or "our"). By using PracticeChat, you agree to these Terms.
1. What PracticeChat Is
PracticeChat is an AI-powered chat widget that medical practices embed on their websites. It helps patients find information about the practice—locations, hours, providers, services, insurance, and general health education.
PracticeChat is an information tool, not a medical service.
2. What PracticeChat Is Not
PracticeChat does not:
- Provide medical advice, diagnosis, or treatment recommendations
- Replace consultation with a qualified healthcare provider
- Access, store, or process Protected Health Information (PHI)
- Serve as a HIPAA-covered service or Business Associate
- Guarantee the accuracy, completeness, or timeliness of any information
If you have a medical concern, contact your healthcare provider or call 911 for emergencies.
3. Who These Terms Apply To
These Terms apply to:
- Practice Customers: Medical practices that subscribe to PracticeChat and embed it on their websites
- End Users: Patients and visitors who interact with the chat widget on practice websites
Both are referred to as "you" where applicable.
4. Practice Customer Responsibilities
If you are a medical practice using PracticeChat, you agree to:
- Provide accurate, current information for your chatbot's knowledge base
- Review and approve content before it goes live
- Not upload or input any Protected Health Information (PHI)
- Not use PracticeChat to provide medical advice or clinical recommendations
- Ensure your use complies with applicable laws and regulations
- Maintain your own HIPAA compliance programs independent of PracticeChat
You are responsible for the accuracy of practice-specific content.
We provide the platform; you provide the information.5. End User Responsibilities
If you are a patient or visitor using a PracticeChat widget, you agree to:
- Not enter any personal health information, medical records, or sensitive personal data
- Not rely on chatbot responses as medical advice
- Contact the practice directly for urgent matters, appointments, or medical questions
- Use the service for its intended purpose (learning about the practice)
6. Prohibited Uses
You may not use PracticeChat to:
- Input, transmit, or store Protected Health Information (PHI)
- Provide or solicit medical advice
- Engage in any unlawful activity
- Attempt to reverse engineer, copy, or extract the underlying technology
- Interfere with or disrupt the service
- Use automated systems to excessively query the service
- Misrepresent your identity or affiliation
7. AI-Generated Content Disclaimer
PracticeChat uses artificial intelligence to generate responses. AI systems can make mistakes.
- Responses are generated based on practice-provided content and general health education materials
- We do not guarantee responses are accurate, complete, or current
- AI may occasionally produce incorrect or unexpected outputs
- Practice Customers should monitor chatbot interactions and report issues
Do not make medical decisions based on chatbot responses.
8. Intellectual Property
Our IP
PracticeChat, including its software, design, branding, and documentation, is owned by MedTech Consulting, LLC. You receive a limited license to use the service, not ownership of any intellectual property.
Your Content
Practice Customers retain ownership of the content they upload (provider bios, location info, FAQs, etc.). By uploading content, you grant us a license to use it to provide the service.
9. Subscription and Payment
For Practice Customers
- Pricing and payment terms are specified in your service agreement
- Subscriptions renew automatically unless cancelled
- We may change pricing with 30 days notice
- No refunds for partial subscription periods
Service Availability
We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications at any time.
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from these Terms or your use of PracticeChat is limited to the amount you paid us in the 12 months preceding the claim, or $500, whichever is greater
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- We are not liable for any damages arising from:
- Your reliance on chatbot responses
- Inaccuracies in practice-provided content
- Actions taken based on information from the service
- Unauthorized access to or alteration of your data
- Any third-party conduct or content
This limitation applies regardless of the legal theory (contract, tort, or otherwise).
11. Disclaimer of Warranties
PracticeChat is provided "as is" and "as available" without warranties of any kind, express or implied.
We disclaim all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of content
- Uninterrupted or error-free operation
12. Indemnification
Practice Customers agree to indemnify us against:
- Claims arising from your content
- Your violation of these Terms
- Your violation of any law or regulation
- Claims from your patients or website visitors related to information accuracy
We agree to indemnify Practice Customers against:
- Claims arising from our gross negligence or willful misconduct
- Claims that the PracticeChat platform itself infringes third-party intellectual property
13. Termination
By You
Practice Customers may cancel their subscription at any time through written notice. Access continues until the end of the current billing period.
By Us
We may suspend or terminate your access if you:
- Violate these Terms
- Fail to pay fees when due
- Use the service in a way that poses legal or security risks
Effect of Termination
Upon termination:
- Your access to the platform ends
- We may delete your practice-specific content after 30 days
- Provisions that should survive termination (limitation of liability, indemnification, IP rights) continue to apply
14. Assignment
We may assign this agreement to an affiliate, successor, or acquirer of our business or assets without your consent, provided the assignee assumes all obligations under these Terms.
You may not assign your rights or obligations without our written consent.
15. Modifications to Terms
We may update these Terms from time to time. We will notify Practice Customers of material changes via email or through the service. Continued use after changes take effect constitutes acceptance.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.
Any disputes will be resolved in the state or federal courts located in Georgia. You consent to personal jurisdiction in these courts.
17. General Provisions
- Entire Agreement: These Terms, along with any service agreement, constitute the entire agreement between us
- Severability: If any provision is found unenforceable, the remaining provisions continue in effect
- Waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later
- No Agency: Nothing in these Terms creates a partnership, employment, or agency relationship
